Service Contract

One of our goals at My Resume Profile is to create satisfied customers. One way of accomplishing this goal is to make clear our intensions for working with each other. These are the terms of our agreement:

•  Authorization. The client, named in the attached price quote, is engaging My Resume Profile, henceforth to be known as MRP in this document, P.O. Box 311207, Houston, TX 77231, as an independent contractor for the specific services listed in the item description of the above services quotation. If the client is retaining My Resume Profile to install a completed web site on the client's own web space, the client authorizes MRP to access the required server space to install and/or maintain the site. The client will provide MRP with a FTP username and password for this purpose.

•  Offered Services. The following items are the included elements of services offered by MRP.

  1. All Design Packages include
  2. • Four main web pages designed with the client's chosen site style. Additional site pages can be purchased at the additional per page price.
    • A plain printer friendly version of client's resume
    • Words of text (content) supplied by the client
    • Up to a maximum of 8 plain pages to hold portfolio items if needed. Additional pages can be purchased at the regular hourly design rate.
    • Optimization and placement of portfolio items - includes web links, documents, video, audio and/or other media files. A maximum of 8 work samples are included in each package, with a maximum size of 10MB for sites maintained at www.myresumeprofile.com. Larger portfolios will incur additional fees.
    • Optimization and placement of client's photograph on your Resume Profile site (optional).
    • A personalized web address
    • Fully functional links to email and other web addresses the client designates. Maximum of an average of 2.5 links per page for external links other than portfolio links.
    • Up to three content revisions during the design process.
    • Main site pages can be removed from any design package at the client's request at no additional charge.
    • Completed site placed in an MRP temporary online area for client to review and approve that site elements meet the original specifications.
  3. Additional elements of the premium design plans
  4. • The Professional Plus package also includes the ability to mix and match elements from the different available site styles into a semi-customized site. One is swapping out the navigation button shapes/styles, fonts or color scheme between the different site styles. A second option is renaming the site pages and carrying the main site style onto your additional portfolio pages.
    • The Executive package includes custom elements. These customized elements may include color schemes, layout, background images, logos, navigation elements, fonts and page uses.
    • Secondary resume profile sites purchased for the same individual will have a unique web address and are charged at half the normal rate as a way of accommodating multiple professional disciplines. Secondary sites will have the same design as the original site with content changes to reflect the individual's additional skill sets.
  5. Online Site Maintenance packages include
  6. • Placing your site online at myresumeprofile.com
    • A unique web address using the client's name or other designated handle if name is not available.
    • Different numbers of content updates depending on the maintenance package chosen.
    • Maintenance package content updates include updating links and making minor changes to customer provided content such as minor text changes or swapping out a photo or a media file. This agreement does NOT cover removing large portions of text or content from any page and replacing it with new text or content.
    • If the client or an agent other than MRP attempts to update the client's site, time to repair web pages will be assessed at the current hourly rate and is NOT included as a part of updates.
  7. Other options for placing client's site online
  8. • MRP can secure individual online web hosting, register domain names and maintain client's resume profile on their own web space. Contact a representative for a price quote for these services.
    • Client's can elect to have their site delivered to them electronically over the internet or on a disk via U.S. Mail once design work is complete. If this option is chosen, the client acknowledges that it is their responsibility to secure web space, a domain name and upload their own site.
  9. Renewal of any Online Maintenance Package and requests for additional services is also subject to the applicable terms of this design contract.
  10. Websites removed from the internet at the request of the client or by MRP are stored offline and available for reactivation at the client's request for a nominal fee. A client can have their site permanently deleted by sending a signed, written request to: My Resume Profile, P.O. Box 311207, Houston, TX 77231.

•  Pricing. Prices for requested services are designated in each individual customer quote and will be the price for only the services described herein. Additional services or customer requests not described in the customer quote will be charged per page or per hour at the normal rates listed at www.myresumeprofile.com. Additional charges will be assessed for design revisions or site updates that are required or requested beyond those included in the client's purchased package.

•  Changes to submitted text. Please send MRP your FINAL text for all elements of your site pages. The time required to make substantial changes to client-submitted text will be billed at the hourly rate for editing and copy writing.

•  Completion Date. MRP agrees to work expeditiously to complete the website design no later than two weeks after receiving initial payment and client content. However, turn-around time is client-dependent and MRP can only work as fast as your responses allow. Providing us with your site content quickly with clear instructions initially and during the approval process and making reasonable revision requests will result in a much shorter time frame form completion of your web design. MRP cannot be held accountable for delays outside of our control such as approval delays, third party involvement not under MRP control and/or catastrophic events.

•  Assignment of Projects. MRP reserves the right to assign subcontractors to any current project.

•  Legal Stuff. MRP does not warranty that the functions contained in the delivered web site/pages will meet the client's requirements or that the operation of the pages will be uninterrupted or error-free. In no event will MRP be liable to the client or any third party for any damages, lost profit or savings, or any other incidental, consequential or special damages that might arise out of the operation of or inability to operate the web pages or web site, even if MRP has been advised of the possibility of such damages. If any provision of this agreement shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

•  Copyrights and Trademarks. The client represents to MRP and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other content furnished to MRP for inclusion in web pages are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect and defend MRP and its subcontractors from any claim or suit arising from the use of such elements supplied by the client.

•  Copyright to Web pages. Copyright to the finished assembled work of web pages produced by MRP is owned by MRP. Upon final payment of design fees, the client is assigned the limited rights to use as a web site the design, graphics and text contained in the finished assembled web site. Rights to photos, graphics, source code, work-up files, and computer programs are specifically not transferred to the client and remain the property of their respective owners. MRP and its subcontractors retain the right to display graphics and other web design elements as examples of their work in their respective portfolios.

•  Fee Payment. Fees to MRP are due and payable according to the following schedule.

50% of primary site design package fees are due prior to MRP starting design work.
50% of design package fees are due once web pages have been completed according to the client's original written specifications.
100% of secondary site design package fees are due prior to MRP starting design work with a zero balance due once web pages have been completed according to the client's original written specifications.
All other fees due promptly by the specific date shown on the client's invoice for requested services.
Client's web pages will not be placed online or delivered to the client in any form until final payment of design fees has been received. MRP reserves the right to remove web pages from viewing on the internet until payment of any and all overdue balances is made. In case collection proves necessary, the client agrees to pay all fees incurred by that process. This agreement becomes effective when client makes initial payment of fees to MRP for services listed in their price quote. Payment of initial fees by the client constitutes acceptance of the terms of the Price Quote and the MRP Service Contract. For the purpose of venue, the client agrees that this contract was entered into in Harris County, Texas, and any disputes will be litigated or arbitrated in Harris County, Texas. Please remit payments promptly.

•  Sole Agreement. The agreement contained in this "Service Contract" constitutes the sole agreement between MRP and the client regarding services quoted, contracted and/or performed by MPR. Any requested changes to services already in progress must be authorized with a documented change order and/or an additional quote. All prices specified in a client quote will be honored for 1 month from the date of quote preparation. Any additional or future services require a new agreement.

•  Initial Payment and Refund Policy. This agreement begins with payment of the initial invoice amount. The client may contact MRP to halt work after this point (713-721-0059). Work will cease and the client may apply in writing for a refund within 30 days to My Resume Profile, P.O. Box 311207, Houston, TX 77231. Any work already completed on the project prior to the client halt order will default to being billed at the applicable design or copy editing rate and will be deducted from the initial payment. The balance of these funds will be refunded to the client. If the amount of the billable hours of work completed is beyond the amount of the initial payment, no refund will be issued. No portion of the initial payment will be refunded unless a written request is made within 30 days of the initial payment.

Payment of invoiced fees to MRP constitutes acknowledgement and acceptance of the terms of the Pricing Quote and MRP Service Contract provided to the client by MRP.
